Innocent misrepresentation

innocent misrepresentation: in contract disputes, an unintentionally false representation that will give the party relying upon it a right to either rescind the contract entered into in reliance upon the misrepresentation, or claim damages; distinct from a fraudulent misrepresentation or a negligent misrepresentation, which are knowingly or carelessly false and will entitle a successful claimant to both rescission and damages.
